Hotshot Office agreement · one load at a time

Ro-Mac and the Driver

This is not a long-term contract. There is no term, no weekly fee, and no minimum number of loads. It is for a CDL driver in a 1-ton dually with a 40-foot flatbed. Ro-Mac does the office work. Ro-Mac does not dispatch the Driver and does not book the load.

1. The parties

Ro-Mac Transportation, Inc., doing business as Ro-Mac Logistics (“Ro-Mac”), 3709 N Belt Hwy, Suite C, Saint Joseph, Missouri 64506, MC 273349, and the motor carrier named below (the “Driver”).

2. No term

Either party may stop at any time. No notice period. No cancellation fee if Ro-Mac has not sent the paperwork. The Driver is not exclusive to Ro-Mac. Ro-Mac does not have to take the next file.

3. The load

The Driver finds the load and books it. Ro-Mac does not find it, does not book it, and does not put the Driver on it. A file begins only when the Driver asks Ro-Mac to handle the paperwork for a load the Driver has already booked.

4. What Ro-Mac does

Ro-Mac handles the office paperwork. That is the broker agreements, the W-9, the authority, and the insurance certificate, sent the way that broker expects to receive them. If the Driver requests it, Ro-Mac sends the proof of delivery. Ro-Mac sends the freight invoice to the company that pays the Driver directly. If the Driver asks, Ro-Mac makes the phone calls. Ro-Mac does not dispatch the Driver and does not take the freight payment.

5. What the Driver does

The Driver holds a valid CDL and hauls with a 1-ton dually and a 40-foot flatbed. The Driver finds the load, books it, makes the pickup, and makes the delivery. The Driver may ask Ro-Mac to make the phone calls. The Driver sends pictures of the truck and the trailer, gets vetted by Ro-Mac, and keeps the documents brokers ask for. The Driver complies with FMCSA rules and hauls only with the authority and insurance the load requires. The Driver is an independent carrier, not an employee of Ro-Mac. Ro-Mac does not haul the freight and does not insure it.

6. How the Driver is paid for the freight

The company on the load pays the Driver directly, on that company’s terms. Ro-Mac sends the invoice to that company. If the Driver requests it, Ro-Mac sends the proof of delivery. Ro-Mac does not guarantee the rate, or that the company will pay, or when. Ro-Mac does not take that payment. Ro-Mac will not take a deduction from the settlement.

7. How Ro-Mac is paid

The fee is fifty dollars ($50.00) for the paperwork on each load. It is not a percentage of the linehaul. There is no setup fee, no weekly fee, and no monthly minimum. The fee is owed when Ro-Mac has sent the broker agreements, the W-9, the authority, and the insurance certificate. Ro-Mac invoices the Driver for that fifty dollars after those documents are sent. If the Driver asks for the file and then does not haul after Ro-Mac has already sent that packet, the same fifty dollars is invoiced. No fee if Ro-Mac never sent the documents. It is the Driver’s responsibility and obligation to pay Ro-Mac by ACH. Ro-Mac will not take a deduction from the settlement. Ro-Mac does not take a check or cash. The Driver pays the invoice by ACH to the account named on the invoice. Payment is due within seven days of the invoice.

8. The whole agreement

This writing is the Hotshot Office agreement. It is governed by the laws of the State of Missouri. It does not make the Driver a Ro-Mac employee, it does not make Ro-Mac the dispatcher, and it does not make Ro-Mac the motor carrier on the load.
